These Terms of Service (“Terms”) form a legal agreement between SEO Engico Ltd, a company registered in the United Kingdom (“SEO Engico”, “we”, “our”), and the person or entity using the Agency Ops Portal at ops.seoengico.com, portal.seoengico.com, or any other domain we operate (“you”, “your”).
By signing in to or using the Service you confirm you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.
These Terms are governed by English law. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them, subject to your statutory consumer rights if applicable.
1. The Service
The Service is a private operations workspace for SEO Engico staff and the clients we serve. It provides tools for managing link-building campaigns, SEO retainers, performance reporting, file sharing, approvals, internal chat, and similar agency operations.
We may add, change, or withdraw features at any time. We will give reasonable notice for material changes that affect features you actively rely on.
2. Eligibility and accounts
- You must be at least 18 years old to use the Service.
- You may only access the Service through an account that has been provisioned for you by SEO Engico or by an authorised admin within your organisation.
- You are responsible for keeping your password secure and for all activity carried out under your account. Notify us at security@seoengico.com immediately if you suspect unauthorised access.
- We may suspend or terminate accounts where we reasonably believe they have been used in breach of these Terms.
3. Acceptable use
You must not, and must not allow any third party to:
- use the Service for any unlawful purpose or in breach of any applicable law or regulation;
- upload, store, transmit, or generate content that is unlawful, defamatory, infringing, abusive, or that contains malware;
- attempt to probe, scan, reverse-engineer, or breach the security of the Service or its underlying infrastructure;
- interfere with or disrupt the integrity or performance of the Service or the data it contains;
- use the Service to send unsolicited bulk email, scrape third-party websites without authorisation, or carry out activity that breaches the Computer Misuse Act 1990;
- use any third-party API made accessible through the Service (including Google APIs) in a manner that breaches that provider's terms.
4. Connecting third-party accounts (Google, etc.)
The Service allows you to connect third-party accounts via OAuth, notably Google Analytics 4 and Google Search Console. By initiating a connection you authorise us to access your Google account using the read-only scopes described in our Privacy Policy for the limited purposes of listing properties and pulling analytics and search performance data into monthly client reports.
You may disconnect at any time using the “Disconnect” button in the relevant client's connection card or by revoking access at myaccount.google.com/permissions.
5. Customer data and ownership
You retain all rights, title, and interest in any data you submit or upload to the Service (“Customer Data”). You grant SEO Engico a worldwide, royalty-free licence to host, copy, transmit, and display Customer Data only as necessary to provide the Service to you and to fulfil our obligations under our engagement with you.
We retain ownership of the Service itself, including software, user interface, designs, and any aggregated, de-identified analytics we derive from operating the platform.
6. AI-generated content
Some features (notably “Draft commentary with AI”) use a third-party large language model to generate suggested text. The outputs are advisory and may be inaccurate, incomplete, or outdated. You are responsible for reviewing AI-generated content before sending it to a client. SEO Engico is not liable for decisions made based solely on AI outputs that have not been reviewed by a competent person.
7. Fees
Where the Service is provided as part of a paid engagement, fees and payment terms are set out in the separate written agreement with the client. The Service itself does not currently take payment through this portal. We will give written notice before any fees change.
8. Confidentiality
Each party will treat the other's confidential information with the same degree of care it uses for its own (and at minimum, reasonable care). Confidential information includes Customer Data, unreleased product information, security measures, and commercial terms. This obligation continues for three years after the end of the engagement, except that obligations regarding personal data and trade secrets continue for as long as required by law.
9. Service availability
We make commercially reasonable efforts to keep the Service available and to recover quickly from any outages. We do not currently offer a contractually guaranteed uptime. Scheduled maintenance will be announced in advance where practical.
10. Disclaimers
Except as expressly stated in these Terms or in a separate written agreement with us, the Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we exclude all implied terms, conditions, and warranties, including those of satisfactory quality, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
Nothing in these Terms limits or excludes:
- liability for death or personal injury caused by negligence;
- liability for fraud or fraudulent misrepresentation;
- any other liability that cannot be limited or excluded under English law.
Subject to the above, our total aggregate liability arising out of or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, will not exceed the greater of (a) the fees paid to us by or on behalf of the user's organisation in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred pounds sterling (£100). We are not liable for indirect, special, consequential, or pure economic loss, loss of profits, loss of revenue, loss of business, loss of goodwill, or loss or corruption of data beyond what we hold in our database.
12. Indemnity
You agree to indemnify and hold SEO Engico harmless from any third-party claim, loss, or expense (including reasonable legal fees) arising out of or related to (a) your breach of these Terms, (b) your misuse of the Service, or (c) Customer Data you submit that infringes a third party's rights or breaches applicable law.
13. Suspension and termination
We may suspend your access to the Service immediately if you breach these Terms in a way that puts the Service or other users at risk, and we will lift the suspension as soon as the issue is resolved. Either party may terminate by written notice if the other commits a material breach that is not remedied within 14 days of notice. On termination, we will, on reasonable request, provide a copy of your Customer Data and then delete it as set out in our Privacy Policy.
14. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service at least 14 days before they take effect. Continued use after the effective date is acceptance of the updated Terms.
15. Notices
Notices to SEO Engico must be sent to legal@seoengico.com. Notices to you will be sent to the email address registered on your account.
16. Miscellaneous
- Entire agreement. These Terms together with any separate signed engagement agreement are the entire agreement between us regarding the Service.
- Severability. If any provision is held unenforceable, the remainder will continue in full force.
- No waiver. A failure to enforce a provision is not a waiver of that provision.
- Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign in connection with a merger, acquisition, or sale of substantially all of our assets.
- Third-party rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term.
